Project Lighthouse is a fully-integrated provider of Disease Management Systems & Services. Healthios led the acquisition of Project Lighthouse from venture capital investors, and managed the due diligence and integration process in conjunction with management and third-party service providers, including PWC, Grant Thornton, and Bell Boyd. We designed the strategy, structure, organization and principal business direction of the Company and raised $39 million in three rounds from premier venture capital firms. Healthios recruited a multi-functional management team composed of individuals with over 100 years of combined operating experience, including the former President of a Fortune 25 Company with experience managing a $4 billion P&L. We developed and implemented a central finance, control, and treasury tax systems for five operating units in 4 states, while nurturing principal corporate and commercial banking relationships, including associations with securities analysts from bulge-bracket Wall Street firms. Healthios orchestrated all M&A activities, comprised of 6 transactions with aggregate enterprise value of $137 million, and completed 5 strategic partnerships with Fortune 100 companies, having total economic value in excess of $60 million. Later we completed the formation of a separate Disease Management subsidiary to enable separate financing and strategic platform from the parent company, and completed preparation of S-1 Registration Statement with respect to the initial public offering of common stock with the syndicate of underwriters including Thomas Weisel Partners, SG Cowen, and William Blair & Co.
