Project Seasons is a $300 million global biologics product company, and has been a division of largest healthcare concern in Japan since 1972. In 2002 the Company was recovering from an FDA consent decree and mandated shutdown in 1999 with significant quality related cap-ex requirements in a complex market environment with falling prices and volumes. The parent chose to sell rather than support the current management in a turnaround. Healthios led the worldwide due diligence effort to evaluate industry dynamics, pricing trends, financial performance, product pipelines, production, licensing and I/P integrity. We evaluated the Company's regulatory processes, management capacity, capital requirements, and strategic direction. We than appointed a world-class management team and Board of Directors. Healthios also led discussions with foreign principals, the FDA, and the Japanese Ministry of Health and Welfare.
