Nuance Communications, Inc.

Nuance Communications, Inc. signed an agreement to acquire eScription, Inc. for $363 million from Paul Egerman and Ben Chigier on April 7, 2008. The consideration comprises of $340 million in cash and $23 million in stocks of Nuance. Further Nuance will assume all the vested employee options of eScription with a value of approximately $37 million. In connection with the transaction, Warburg Pincus, has agreed to purchase 5.76 million shares of Nuance common stock at a purchase price of $17.36 per share and  will acquire a warrant to purchase 3.7 million shares of Nuance common stock upon the closing of the investment.
