Bottomline Technologies Inc. a leading provider of collaborative payment, invoice, and document automation solutions entered into a definitive agreement and plan of merger to acquire Optio Software (OTCBB: OPTO.OB) for $47.66 million in cash on March 3, 2008. Bottomline will pay $1.85 per Optio share. The consideration includes $6.55 million for outstanding options of Optio. Optio may be required to pay Bottomline a termination fee of $1.5 million.
