Takeda Pharmaceutical Co. entered into a sale and purchase agreement to acquire Amgen K.K. from Amgen, Inc. on February 1, 2008. Terms of the transaction were not disclosed. Under the terms of the agreement, Takeda will pay to Amgen the net asset value of Amgen K.K. as of the closing date, which shall exclude certain assets to be transferred out of Amgen K.K. The purchase is expected to close on or before March 31, 2008. Frank Aquila, Ronald Creamer and Izumi Akai of Sullivan & Cromwell acted as legal advisor for Amgen Inc.
